Sales, Dispute and Refund Policy

Customer shall pay BluegrassNet Voice per the provisions set forth herein. BluegrassNet Voice will bill Customer on the 10th of each month presented electronically or US Mail provided that if such date falls on a weekend or federal holiday, BluegrassNet Voice will bill Customer on the next business day thereafter. The invoiced amounts shall be due and payable by Customer in U.S. Dollars in immediately available funds within 20 days of electronic or US mail receipt of invoices. Customer agrees to accept delivery of invoices electronically via the Internet and agrees to remit payment via Bluegrass Voice provided SSL online Credit Card payment to BluegrassNet Voice, Inc. If Customer in good faith disputes any invoiced amount, it shall submit to BluegrassNet Voice within twenty (20) days following receipt of such disputed invoice the written documentation identifying the disputed invoiced amounts, the BluegrassNet Voice-supplied Call Detail Records (CDRs) for the disputed calls, and the reason for the dispute. CDRs will be provided online not by US mail. The Parties shall investigate the disputed invoiced amounts, and BluegrassNet Voice may issue a credit against future invoices. Failure to contest a charge within twenty (20) days of the date of the invoice will create an irrefutable presumption of the correctness of the charge. Notwithstanding anything else in this Agreement, in the event of good faith dispute, Customer may only withhold up to twenty percent (20%) of the disputed amount until the dispute has been resolved by BluegrassNet Voice, after which Customer's invoice will be adjusted if resolved in Customer's favor. Any amounts due hereunder that are not paid when due shall accrue interest at the rate of one and one-half percent (5%) per month or the maximum amount allowable by law, compounded daily, beginning with the day following the date on which payment was due, and continuing until paid in full. BluegrassNet Voice shall have the right to set off any amounts due hereunder which are not paid when due against any amounts owed to Customer by BluegrassNet Voice or any of its affiliates pursuant to any other agreement or arrangement. BluegrassNet Voice may make billing adjustments for BluegrassNet Voice Services for a period of one hundred eighty (180) calendar days after the date a Service is rendered, and for Third Party Services at any time within two (2) months of BluegrassNet Voice's receipt of any invoice from the Third Party Provider, or any other timeframe allowed by contract, law or government rule or regulation, whichever is later. BluegrassNet Voice reserves the right to backbill at anytime for any possible access or reciprocal fees should those arise.
